1. Introduction
These Terms and Conditions ("Agreement") govern the services provided by Skyfra Tech ("we", "us", or "our") to you ("Client", "you", or "your") for digital marketing and web development services. By engaging our services, you agree to comply with these terms and conditions.
2. Scope of Services
Skyfra Tech will provide the digital marketing and/or web development services as agreed upon between the Client and Skyfra Tech. These services may include, but are not limited to:
- Search Engine Optimization (SEO)
- Social Media Marketing (SMM)
- Pay-Per-Click (PPC) Advertising
- Website Design and Development
- Content Creation
3. Payment Terms
Initial Payment: We require a 50% upfront payment before starting any work on the project. This initial payment confirms the engagement and allows us to begin work.
Final Payment: The remaining 50% balance is due upon completion of the project, before the final delivery or launch of the website or marketing campaign.
Payment Methods: Payments can be made via bank transfer, UPI, PayPal, or other agreed-upon methods. All payments must be made in full according to the payment schedule.
4. Website Launch and Support
Launch: Upon the successful completion of the website design and development, we will launch the website upon receipt of the final payment.
Free Support Period: After the website is launched, we offer a free support period. This includes minor adjustments, bug fixes, or changes that are required within the first [insert number of days/months] days or months after the launch.
Post-Support Charges: After the free support period ends, any additional work, updates, or support requested by the Client will incur additional charges. These charges will be based on the scope of work and time required to complete the tasks.
5. Client Responsibilities
Content and Materials: The Client is responsible for providing all necessary content, including text, images, videos, logos, and branding materials, needed to complete the project. Delays in providing these materials may result in delays in the completion of the project.
Feedback and Approval: The Client must provide timely feedback and approval for the project at various stages (e.g., design approval, content approval). Delays in approval may result in project delays.
6. Intellectual Property Rights
Website Ownership: Upon full payment, the Client will own the website, including its design, content, and intellectual property, excluding any third-party components such as plugins, stock images, or proprietary software used in the website.
License to Use: We grant the Client a non-exclusive, non-transferable license to use the website and its content for business purposes. Any additional use requires prior written consent from Skyfra Tech.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of the project. This includes but is not limited to marketing strategies, business plans, and sensitive client data.
8. Termination
Either party may terminate the Agreement with written notice if the other party breaches any terms outlined in this Agreement and does not resolve the issue within [number of days] days of receiving notice. If the Client terminates the project before completion, the initial payment is non-refundable, and the Client agrees to pay for any work completed up to the point of termination.
9. Limitation of Liability
Skyfra Tech will not be held liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability will be limited to the total amount paid by the Client for the specific services that gave rise to the claim.
10. Illegal Content and Misconduct
After the launch of the website, Skyfra Tech will not be held responsible for any illegal or unethical content that the Client may upload or include on the website. This includes, but is not limited to:
Inappropriate, offensive, or illegal materials (e.g., hate speech, explicit content, unlawful images, etc.).
Any conduct that violates laws, regulations, or ethical standards.
Any harm caused to customers or visitors due to misbehavior, misinformation, or improper conduct facilitated by the Client.
The Client agrees to indemnify and hold Skyfra Tech harmless from any legal action, penalties, or claims arising from such content or behavior.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles. Any disputes arising out of this Agreement shall be resolved through mediation or arbitration in [Your City/Country].
12. Amendments
